Terms of Service

1. ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS OF SERVICE

All services provided by L & W InterLab ("LWI") are provided to you (the "Member") under the Terms of Service. THESE TERMS GIVE THE MEMBER AND LWI CERTAIN RIGHTS AND RESPONSIBILITIES.  BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "Accept" BUTTON, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS.

2. DESCRIPTION OF SERVICES

LWI is providing the Member with Web Office Point application services. The Member must (1) provide all equipment
necessary for its own Internet connection, including computer and modem, and (2) provide for the Member's own access to the Internet and pay any fees related with such connection. LWI will make commercially reasonable efforts to ensure that the quality of the service we provide is of at least prevailing industry standards, and that access to the Site is available on a 24 x 7 basis. However, although LWI will use all reasonable efforts in good faith to avoid interruption of the Service, the Subscribing Organization acknowledges and agrees that access to the Services, Site and Site Information may be unavailable from time to time for any reason, including without limitation, interruption of major network connectivity, network and server outages, and backup and regular maintenance by LWI and any operators of our servers.

3. MEMBER ACCOUNT, PASSWORD, AND SECURITY

Once you become a Member of the Service, you have a password and an account. You are entirely responsible for any and all activities which occur under your account. You may change your password at any time; you may also set up a new account and close an old account at your convenience. The Member agrees to immediately notify LWI of any unauthorized use of the Member's account or any other breach of security known to the Member.

4. DISCLAIMER OF WARRANTIES

THE MEMBER EXPRESSLY AGREES THAT THIS WEBSITE AND THE USE OF THE SERVICE IS AT THE MEMBER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LWI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LWI MAKES NO WARRANTY THAT THE SERVICE WILL MEET THE MEMBER'S REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; NOR DOES LWI MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. THE MEMBER UNDERSTANDS AND AGREES THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT THE MEMBER'S OWN DISCRETION AND RISK AND THAT THE MEMBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO THE MEMBER'S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. LWI MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICE OR IN ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY THE MEMBER FROM LWI OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO THE MEMBER.

5. LIMITATION OF LIABILITY

LWI SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASE OR OBTAINED OR DOMAINS MOVED OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF THE MEMBER'S TRANSMISSIONS OF DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLE, EVEN IF LWI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO THE MEMBER.

6. NO RESALE OF THE SERVICE

The Member's right to use the Service is personal to the Member.The Member agrees not to resell the Service without the express consent of LWI.

7. TERMINATION

Either the Member or LWI may terminate the Service with or without cause at any time and may do so immediately. LWI shall not be liable to the Member or any third party for termination of the Service. Should the Member object to any terms or conditions of the service or any subsequent modifications thereto or become dissatisfied with the Service in any way, the Member's only recourse is to immediately: (1) discontinue use of the Service; (2) terminate the Member's membership; and (3) notify LWI of the Member's termination. Upon termination of the Service, the Member's right to use the Service immediately ceases.

8. STORAGE, FILE DOWNLOAD/BANDWIDTH LIMITATIONS AND BACKUP

Free storage space for the Member is currently limited to 100 MB, and it may be impossible to store some data or information at the Site due to space constraints. The Member agrees that LWI is not responsible or liable for any insufficient storage capacity or the deletion or failure to store data or information. LWI reserves the right to limit the file download and/or bandwidth capacity of any or all sites in its sole discretion if it deems such limitation to be in the best interests of the operating performance across all sites.

LWI regularly backs up Site Information stored on the Site, and stores the same for a limited time. Subject to the limitations set forth in Sections 8, upon the Member's request and payment of the then-current fee, we will make reasonable efforts to restore Site Information. LWI will have no liability for any failure to back up or restore such Site Information, or for interruptions, delay or suspension of access to or unavailability of Site, Registration or Personal Information, or any loss of such Information, data or transmissions.

9. PRIVACY

10. MEMBERS' RESPONSIBILITIES

All Site Information, Registration Information, Personal Information and other information stored, publicly posted or privately transmitted through the Services by the Member, the confidentiality and privacy of all of the same and of the Site, and all uses of the Services and the Site by the Member are their sole responsibility. Without limitation, the Member and its Site Administrator(s) are responsible for monitoring the contents, use of and access to the Site and all such Information, and use of and access thereto by Members who are minors. Without limitation, the Member agrees that the Member will use the Services and the Site only in accordance with these Terms. The Member's use of the Service is subject to all applicable local, province, federal, and international laws and regulations.

11. PROPRIETARY RIGHTS TO CONTENT

The Member acknowledges that the Content, including but not limited to text, software, music, sound, photographs, video, graphics, or other material contained in either sponsor advertisements or e-mail-distributed, commercially produced information presented to the Member by the Service by LWI or LWI' Advertisers, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws; therefore, Member is only permitted to use this Content as expressly authorized by the Service or the Advertisers. The Member may not copy, reproduce, distribute, or create derivative works from this Content without expressly being authorized to do so by the Service or the Advertisers.

12. MODIFICATIONS TO SERVICE

LWI reserves the right to change the terms and conditions of this service as necessary. LWI expects the Member to actively ensure that it agrees to the current terms, and a modification date will be posted on any and all copies of the terms. Please note that the Member's use of the Service constitutes an acknowledgement by the Member to follow and be bound by the terms and any modifications. LWI reserves the right to modify or discontinue the Service with or without notice to the Member.
